ISS publishes 2025 proxy voting guidelines

Institutional Shareholder Services (ISS) has updated its proxy voting guidelines for the UK and Ireland for the 2025 AGM season.

The guidelines set out how the proxy advisor will recommend that institutional shareholders vote on various matters at company meetings.

As expected following the consultation in November on ISS’ 2025 benchmark voting policy, the changes principally reflect updates to the Investment Association’s Principles of Remuneration, updates to the Quoted Companies Alliance (QCA) Corporate Governance Code, and clarification around Financial Conduct Authority (FCA) reporting requirements in relation to board diversity.

The 2025 guidelines apply to meetings held on or after 1 February 2025.

Companies House publishes form to suppress residential addresses

Companies House has published an updated Form SR01 to allow an individual to apply to make their residential address unavailable for inspection on the public register.

The form follows regulations made in December 2024, which allow applications in a greater range of circumstances than previously. For more information, read our previous Corporate Law Update.

Applications can be made from 25 January 2025 by (among other persons) a current or former officer (i.e. director or secretary), person with significant control (PSC), subscriber or member of a company. The same form can be used for documents relating to companies, limited liability partnerships (LLPs) and eligible Scottish partnerships.

The application must specify which documents the residential address in question appears on. There is a fee of £30 per document.

Companies House has also published a list of documents from which an individual’s residential address can be removed.
