Institutional Investors
We help global investors navigate the complex and evolving world of private capital, from fund commitments, co-investments and exits, through to investments in GPs and international asset management businesses.
Our team has extensive experience working with institutional investors and understands their key priorities and concerns, the market dynamics and the broader commercial trends. We also appreciate the long-term nature of private fund investments and are committed to providing exceptional legal guidance throughout the lifecycle of a client’s investment programmes. Here are some of the ways we can help:
- Fund investments: we advise on making commitments to and co-investing with all types of private funds, including buyout, credit, growth, venture, infrastructure, real estate and hedge funds. We help analyse and negotiate the legal and commercial terms of investments, so that clients can evaluate them in the context of their overall investment strategy, internal policy requirements and any specific applicable legal, tax or regulatory considerations to make fully informed decisions.
- Fund exits: we advise on proposed alternative exit strategies for fund investments, whether these involve preferred equity solutions, secondary sales or continuation funds. We also advise on the tax and regulatory implications of different exit options, and coordinate with sponsors and other relevant stakeholders as needed.
- Asset manager investments: we advise on investments in asset management businesses themselves, including acquisitions of entire businesses, stakes in existing sponsors, and cornerstone investments in new sponsors. We help clients to assess the strategic and financial benefits of these investments, as well as the operational and regulatory challenges. We also advise on the structuring, governance and exit arrangements of these investments, and the alignment of clients’ interests with those of the asset managers.
We draw on the expertise of our full firm as needed, including our private funds, regulatory, competition and anti-trust, corporate, finance, restructuring and litigation teams. In addition to advising on individual investment transactions, our market-leading tax practice can help clients more generally on the best way to establish and operate their global investment programmes.
